1. Definitions

• Service: The Propilist platform, including CRM, CMS, web applications, APIs, and related tools.
• Customer Data: Any data, content, or information uploaded by you or your users, including property listings, client information, and documents.
• Subscription: Paid access to Propilist features for a defined period.
• Agency: A real estate business, brokerage, property developer, or property manager using Propilist.

2. Eligibility

• You must be at least 18 years old to use Propilist.
• If you are entering into these Terms on behalf of a company or agency, you represent and warrant that you are authorized to bind that entity.

3. Account Registration

• You must provide accurate, complete, and up-to-date information when creating your account.
• You are solely responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activity carried out under your account.
• Propilist reserves the right to suspend or terminate accounts with false, incomplete, or unlawful information.

4. Use of the Service
Permitted Use

• Propilist is designed to help agencies manage properties, leads, teams, and transactions.
• You may use the Service for your internal business purposes only.

Prohibited Use
You agree not to:

• Use Propilist for any unlawful, fraudulent, or unauthorized activity.
• Copy, modify, reverse-engineer, or distribute any part of Propilist.
• Upload viruses, malicious code, or attempt to interfere with Service performance.
• Share your account access with unauthorized parties.

5. Subscription, Fees & Payments

• Access to certain features of Propilist requires a paid subscription.
• Subscription fees, billing cycles, and payment terms will be clearly displayed during checkout.
• By purchasing a subscription, you authorize us to charge your payment method on a recurring basis until canceled.
• All fees are exclusive of taxes, duties, or levies, which will be your responsibility.

Renewals & Cancellations

• Subscriptions automatically renew at the end of each billing cycle unless canceled.
• You may cancel at any time through your account settings; however, prepaid fees are non-refundable unless otherwise stated in our Refund Policy.

6. Customer Data & Privacy

• You retain ownership of all Customer Data you upload into Propilist.
• You grant Propilist a limited license to host, store, and process Customer Data solely to provide the Service.
• We implement reasonable security measures, but you acknowledge that no system is 100% secure.
• Our use of Customer Data is further explained in our Privacy Policy and Data Processing Agreement (DPA).

7. Intellectual Property

• Propilist, including its software, trademarks, designs, and logos, remains the exclusive property of [Your Company Name].
• You may not use our trademarks without prior written permission.
• Feedback you provide may be used by us without obligation or compensation.

8. Service Availability & Support

• We strive to provide reliable uptime and access to the Service.

  • Engage in harmful or unlawful behavior.
• Upon termination:
  • Your access will immediately cease,
  • We may retain Customer Data for a limited time to allow export, after which it will be deleted.

11. Refund & Cancellation Policy

• Refunds are only provided in accordance with our Refund & Cancellation Policy.
• Subscriptions are generally non-refundable, except in cases of proven technical failure attributable to Propilist.

12. Disclaimer of Warranties

• Propilist is provided on an “AS IS” and “AS AVAILABLE” basis.
• We disclaim all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
• We do not guarantee results, sales, or leads through the Service.

13. Limitation of Liability

• To the maximum extent permitted by law, Propilist shall not be liable for:
  • Lost profits, lost data, business interruptions, or indirect damages.
  • Any claim exceeding the amount you paid in subscription fees in the 12 months prior to the event giving rise to the claim.

14. Indemnification
You agree to indemnify and hold harmless Propilist, its officers, employees, and affiliates against any claims, damages, or expenses arising from:

• Your misuse of the Service,
• Violation of these Terms,
• Violation of any law or third-party rights.

15. Governing Law & Dispute Resolution
