Terms of Service

Welcome to Propilist! These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “You,” “User,” or “Agency”) and Propilist (“We,” “Our,” or “Us”).

By creating an account, subscribing, or otherwise accessing and using Propilist, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Refund & Cancellation Policy, and any other referenced documents.

If you do not agree to these Terms, you may not use Propilist.

1. Definitions

  • Service: The Propilist platform, including CRM, CMS, web applications, APIs, and related tools.
  • Customer Data: Any data, content, or information uploaded by you or your users, including property listings, client information, and documents.
  • Subscription: Paid access to Propilist features for a defined period.
  • Agency: A real estate business, brokerage, property developer, or property manager using Propilist.

2. Eligibility

  • You must be at least 18 years old to use Propilist.
  • If you are entering into these Terms on behalf of a company or agency, you represent and warrant that you are authorized to bind that entity.

3. Account Registration

  • You must provide accurate, complete, and up-to-date information when creating your account.
  • You are solely responsible for maintaining the confidentiality of your credentials.
  • You are responsible for all activity carried out under your account.
  • Propilist reserves the right to suspend or terminate accounts with false, incomplete, or unlawful information.

4. Use of the Service

Permitted Use

  • Propilist is designed to help agencies manage properties, leads, teams, and transactions.
  • You may use the Service for your internal business purposes only.

Prohibited Use
You agree not to:

  • Use Propilist for any unlawful, fraudulent, or unauthorized activity.
  • Copy, modify, reverse-engineer, or distribute any part of Propilist.
  • Upload viruses, malicious code, or attempt to interfere with Service performance.
  • Share your account access with unauthorized parties.

5. Subscription, Fees & Payments

  • Access to certain features of Propilist requires a paid subscription.
  • Subscription fees, billing cycles, and payment terms will be clearly displayed during checkout.
  • By purchasing a subscription, you authorize us to charge your payment method on a recurring basis until canceled.
  • All fees are exclusive of taxes, duties, or levies.

Renewals & Cancellations

  • Subscriptions automatically renew unless canceled.
  • You may cancel at any time through your account settings.
  • Prepaid fees are non-refundable unless otherwise stated in our Refund Policy.

6. Customer Data & Privacy

  • You retain ownership of all Customer Data you upload.
  • You grant Propilist a limited license to host, store, and process Customer Data solely to provide the Service.
  • We implement reasonable security measures but cannot guarantee 100% security.
  • Data practices are detailed in our Privacy Policy and Data Processing Agreement (DPA).

7. Intellectual Property

  • Propilist, including its software, trademarks, designs, and logos, is the exclusive property of Propilist.
  • You may not use our trademarks without permission.
  • Feedback you provide may be used by us without compensation.

8. Service Availability & Support

  • We strive to provide reliable uptime but do not guarantee uninterrupted availability.
  • Maintenance or updates may occur without prior notice.
  • Propilist is not liable for downtime caused by third parties or force majeure.
  • Support is available through our official channels during business hours.

9. Third-Party Services

  • Propilist may integrate with third-party tools such as payment processors, analytics platforms, or marketing systems.
  • Use of these services is subject to their own policies.
  • Propilist is not responsible for failures or misuse by third parties.

10. Termination & Suspension

  • You may terminate your account at any time.
  • We may suspend or terminate access if you:
    • Violate these Terms,
    • Fail to pay subscription fees, or
    • Engage in unlawful or harmful activity.
  • Upon termination:
    • Your access ends immediately.
    • Customer Data may be retained temporarily for export, then deleted.

11. Refund & Cancellation Policy

  • Refunds are only provided according to our Refund & Cancellation Policy.
  • Subscriptions are generally non-refundable unless a technical failure is proven to be caused by Propilist.

12. Disclaimer of Warranties

  • Propilist is provided “AS IS” and “AS AVAILABLE.”
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
  • We do not guarantee sales, leads, or results through the Service.

13. Limitation of Liability

  • To the fullest extent permitted by law, Propilist is not liable for:
    • Lost profits, lost data, indirect or consequential damages.
    • Any claim is limited to the amount you paid in subscription fees in the prior 12 months.

14. Indemnification

You agree to indemnify and hold Propilist harmless from any claims arising from:

  • Misuse of the Service,
  • Violation of these Terms,
  • Violation of laws or third-party rights.

15. Changes to the Terms

  • We may update these Terms periodically.
  • Material changes will be communicated through email or dashboard notifications.
  • Continued use of Propilist signifies acceptance of updated Terms.
